What are VERIFIED™ Facilities?

VERIFIED™ Facilities are a fixed-income investment offering available through Investing.com.au. It gives investors a choice of investment terms from 6 months to 10 years, with rates varying according to the term selected.

The minimum investment is $100,000.

Who are VERIFIED™ Facilities designed for?

It’s designed for investors looking for attractive fixed-income returns who are comfortable committing capital for a defined period.

A range of terms is available, so you can consider an investment period that suits your circumstances and investment horizon.

What makes VERIFIED™ Facilities different?

It combines fixed-income investing with capital deployment into businesses, assets and strategic initiatives with growth opportunities.

The offering is a straightforward fixed-income proposition that also supports businesses that serve local and international markets.

What is the minimum investment?

The minimum investment is $100,000.

You can apply to invest more than the minimum, subject to the applicable investment terms and acceptance process.

What investment terms are available?

VERIFIED™ Facilities are available across terms of 6, 12, 24, 36, 60 and 120 months.

Custom terms are also available. Speak with our team on 1300 444 444 to discuss a term that suits your requirements.

How do I choose the right term?

That depends on how long you’re comfortable committing your capital.

Some investors prefer a shorter 6 or 12-month term, while others are comfortable investing for longer in return for a higher current rate. The facility gives you a range of options rather than one fixed investment period for everyone.

Are longer terms offered at higher rates?

Currently, yes. Current rates increase across the longer terms, with the highest current rate of 9.70% p.a. applying to the 120-month term.

Rates for new investments may change from time to time.

Are the rates fixed for the investment term?

Yes. The interest rate in your facility agreement is fixed for the term of the facility, including at renewal. This means your rate of interest is defined from the outset.

Can rates change?

Yes, rates for new applications may change from time to time. The latest rates are always shown on the Current Rates page.

Existing client facilities remain at the agreed fixed rate of interest (in the case of VERIFIED™ Fixed Rate Facilities) or RBA interest premium (in the case of VERIFIED™ Variable Rate Facilities).

When is my rate confirmed?

Your rate is confirmed through the application and acceptance process.

The investment documentation issued to you will identify the rate and term that apply to your investment.

What is the VERIFIED™ Variable Rate Facility?

The VERIFIED™ Variable Rate Facility pays the RBA official cash rate plus a fixed premium determined by the term you select.

What part of the rate is fixed?

The premium above the RBA official cash rate is fixed for your selected term.

What part of the rate can change?

The RBA official cash rate component can change when the Reserve Bank of Australia changes the official cash rate.

What happens if the RBA increases the cash rate?

If the RBA official cash rate increases, the total rate applicable to the Variable Rate option will increase by the same amount at your next interest payment interval, subject to the facility terms.

What happens if the RBA reduces the cash rate?

If the RBA official cash rate decreases, the total variable rate will decrease by the same amount, subject to the facility terms.

Does my premium ever change?

The fixed premium applicable to your selected term is fixed for the full term of your facility.

Are VERIFIED™ Facilities associated with the RBA?

No. The Reserve Bank of Australia is not associated with or responsible for VERIFIED™ Facilities. References to the RBA official cash rate are solely for determining the variable interest rate.

When does interest start?

Interest starts accruing from the day cleared funds are received for your accepted VERIFIED™ Facilities investment.

How is my return calculated?

Returns are calculated using the rate for your selected term and the calculation method set out in the facility documentation.

The Investment Calculator uses the same rates to give an indicative result.

How often is income paid?

The frequency and method of income payments are set out in the investment documentation.

You’ll have a clear picture of when payments are expected before you complete your investment.

Can my returns be reinvested?

Reinvestment options depend on what is available at the relevant time.

If you’d like to invest again at the end of a term, you can review the then-current rates and investment options.

Yes. Individuals, companies, SMSFs and trusts are accepted.

Is every application automatically accepted?

No. Applications are subject to eligibility, verification and acceptance requirements.

How long does the application process take?

The online application itself is designed to be quick to complete.

The overall timeframe depends on your investor structure, verification requirements and whether any additional information is needed. We aim to keep the process as efficient as possible.

What happens once my investment is accepted?

Once your application is accepted, you’ll receive the information needed to complete your investment.

Your documentation confirms the key details, including your:

  • investment amount
  • investment term
  • applicable rate
  • commencement arrangements
  • payment terms

How do I transfer funds?

Funding instructions are provided after your application has been reviewed and accepted.

Interest starts accruing from the day your cleared funds are received.

Can I make more than one investment?

Yes, you may open multiple VERIFIED™ Facilities. This is common with clients who choose to split their amounts in different terms or with different interest payment frequencies.

What happens at the end of my investment term?

You are required to provide at least 30 days’ notice in writing prior to maturity of your intention to have the facility settled. Your facility otherwise renews automatically on the same terms.

How is capital deployed?

Capital raised through the VERIFIED™ Facilities is intended to support businesses, assets and strategic growth initiatives.

Funding may be applied to working capital, sales & marketing, development, technology & infrastructure, strategic corporate initiatives, legal initiatives, capital management and refinancing by the borrowing party and its related parties.

What sectors do the underlying assets intersect?

The portfolio intersects with some of the most significant structural growth themes in the digital economy, including identity and trust infrastructure, media, advertising, cybersecurity, publishing, investment information and financial technology.

These sectors include substantial global markets and established strategic acquirers. The group’s objective is to develop scalable assets with strong market positions, recurring revenue potential and multiple pathways for long-term value creation and eventual realisation.

What is the growth and realisation strategy for the underlying assets?

The broader strategy is focused on building and scaling assets with the potential to generate recurring revenues, strengthen their market position and expand across larger domestic and international markets.

Realisation may occur through a range of pathways depending on the asset and market conditions, including strategic investment, partial or full divestment, refinancing, recapitalisation, a public market transaction or continued ownership where ongoing cash generation is considered attractive.

The timing and method of any realisation will depend on the performance of the relevant assets, available opportunities and prevailing market conditions. The objective is to build value over time while retaining flexibility around the most appropriate realisation pathway.

Are VERIFIED™ Facilities risk-free?

No. No investment should be regarded as risk-free. Standard investment risks apply as set out below.

Is my capital guaranteed?

Your investment documentation sets out whether any guarantee, security or capital-protection arrangements apply.

VERIFIED™ Facilities should not be regarded as guaranteed or capital protected unless the documentation expressly says so.

What are the key risks?

Key risks include liquidity, regulatory, key person, related party transaction, lending, banking, technology, cybersecurity, litigation, capital loss, and execution risk. This list is not exhaustive and we recommend seeking independent legal and financial advice prior to subscribing.

Are VERIFIED™ Facilities covered by the Financial Claims Scheme?

No. Investments in VERIFIED™ Facilities are not bank term deposits and are not covered by the Australian Government Financial Claims Scheme. The facilities are governed by the Bills of Exchange Act 1909 (Cth). The Banking Act 1959 (Cth) does not apply to the VERIFIED™ Facilities.
